Partner Terms for Kimih Information Technology CO. L.L.C
1. Introduction
Welcome to Kimih Information Technology CO. L.L.C (“Kimih,” “we,” “us,” “our”). These Partner Terms (“Terms”) govern your use of our SaaS platform and marketplace services. By registering as a partner, you agree to these Terms. If you do not agree, please do not use our services.
2. Services Provided
Kimih provides a digital marketplace that connects buyers with beauty and fashion service providers. Our platform facilitates service booking and payment processing but does not handle physical card terminals or in-person transactions.
3. Fees
- Transaction Fees: Kimih charges a transaction fee of 2.5% on each successful booking processed through our platform.
- Additional Costs: Partners are responsible for any fees imposed by third-party services, including Stripe fees for payment processing and SMS fees for communication.
- Fee Changes: Kimih may update the fees from time to time. Partners will be notified of any changes with at least 30 days' notice.
4. Payment and Dispute Resolution
- Payment Processing: Payments for services are processed through Stripe. Stripe handles all payment disputes, refunds, and chargebacks. Partners must adhere to Stripe’s terms and conditions for payment processing.
- Dispute Resolution: Kimih does not resolve disputes related to payment processing, service quality, or transactions between the partner, the customer, and Stripe. Disputes related to payments or service issues should be resolved directly between the partner, the customer, and Stripe.
5. Partner Obligations
- Compliance: Partners must comply with all applicable laws and regulations and must not use the platform for any illegal activities.
- Content: Partners are responsible for ensuring that all content and services provided through the platform are accurate, lawful, and do not infringe on any third-party rights.
- Accuracy: Partners must provide accurate and up-to-date information regarding their services, availability, and pricing.
6. Data Protection and Privacy
- Data Use: Partners agree to comply with our Privacy Policy, which details how we collect, use, and protect personal data.
- Security: Partners must implement reasonable security measures to protect their account and data.
7. Indemnification
Partners agree to indemnify, defend, and hold Kimih, its affiliates, and their respective officers, directors, employees, and agents harmless from any claims, damages, losses, and expenses, including reasonable legal fees, arising out of or related to their use of the platform or services.
8. Limitation of Liability
- Platform Use: Kimih is not liable for any indirect, incidental, special, consequential, or punitive damages resulting from the use or inability to use the platform.
- Service Issues: Kimih is not responsible for issues arising from services provided by partners, including any dissatisfaction or disputes between the partner and the customer.
9. Dispute Resolution
Any disputes arising under these Terms shall first be attempted to be resolved through mediation or arbitration. If such resolution is not possible, disputes may be taken to the courts located in the
UAE.
10. Force Majeure
Kimih shall not be liable for any failure to perform its obligations under these Terms if such failure results from an event beyond its reasonable control, including but not limited to natural disasters, strikes, or government actions.
11. Intellectual Property
All intellectual property rights related to the platform and its content are owned by Kimih. Partners may not use, reproduce, or distribute any of Kimih’s intellectual property without prior written consent.
12. Relationship of the Parties
The relationship between Kimih and partners is that of an independent contractor. Nothing in these Terms shall be construed as creating a partnership, joint venture, or employment relationship.
13. Notices
Any notices or communications under these Terms shall be sent via email to the address provided by the partner or to info@kimih.com. Notices sent via email shall be deemed effective upon receipt.
14. Changes to Terms
Kimih reserves the right to modify these Terms at any time. Partners will be notified of any changes by posting the updated Terms on our website. Continued use of the platform after such changes constitutes acceptance of the new Terms.
15. Governing Law
These Terms are governed by the laws of the UAE. Any disputes arising from these Terms shall be resolved in the courts located in the UAE.
